TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the DeliveryLinx software and website (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service for an organization, you represent that you are authorized to bind that organization.

1. The service

DeliveryLinx provides transportation management software for delivery and freight contractors, including billing, dispatch, settlement, proof of delivery, and compliance tools. We may add, change, or remove features over time.

2. Accounts

You are responsible for your account, for keeping credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. You must provide accurate information and keep it current.

3. Subscriptions and billing

Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor. Fees are non-refundable except where required by law. We may change pricing with notice effective on your next billing cycle. Add-ons and usage-based features are billed as described at purchase. Failure to pay may result in suspension.

4. Acceptable use

You agree not to misuse the Service, including: violating any law or third-party right; sending unlawful, harassing, or unsolicited messages; attempting to breach security or access another account's data; reverse engineering or reselling the Service without authorization; or using it to transmit malware. You are responsible for your messaging practices, including obtaining consent before sending SMS and honoring opt-outs.

Fair use. Flat plans include unlimited stops and users for normal operating use. Certain usage carries a real third-party cost or load, in particular outbound SMS and other messaging, document and photo storage, and automated or bulk API activity. We reserve the right to apply reasonable fair-use limits to, meter, or charge for usage that materially exceeds typical operating patterns for your plan, or that degrades the Service for other customers. We will give you advance notice before applying any such limit or additional charge, and unlimited stops and users remains the rule for ordinary day-to-day operations.

5. Your data

You retain ownership of the data you put into the Service. You grant us a limited license to host and process that data to provide the Service. We handle personal data as described in our Privacy Policy. You are responsible for the accuracy and legality of the data you upload and for the work product the Service generates from it (invoices, bills, settlements).

6. Third-party services

The Service integrates with third parties (for example payment, accounting, mapping, and messaging providers). Your use of those services is subject to their terms, and we are not responsible for them.

7. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted or error free, or that calculations, estimates, or outputs will be free of error. You are responsible for reviewing financial and compliance outputs before relying on them.

8. Limitation of liability

To the maximum extent permitted by law, DeliveryLinx will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the claim.

9. Indemnification

You agree to indemnify and hold DeliveryLinx harmless from claims arising out of your use of the Service, your data, or your violation of these Terms or applicable law.

10. Termination

You may cancel at any time. We may suspend or terminate access for violation of these Terms or non-payment. On termination, your right to use the Service ends; we will make your data available for export for a reasonable period, after which we may delete it.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in California.

12. Changes

We may update these Terms. We will post the new date above and, for material changes, notify account owners. Continued use after changes means you accept them.
